The conditions for all offers, orders and deliveries of CosmetiWood to professional customers.

1. Scope
These general terms apply to all offers, order confirmations, sales and deliveries of products and services by CosmetiWood, Stenehei 30/7, 2480 Dessel, Belgium, company number 0451.447.797, VAT BE0451447797, office@cosmetiwood.com, +32 14 37 77 52 ("CosmetiWood") to professional customers ("the customer").
The customer's own terms and conditions do not apply, unless CosmetiWood has accepted them in writing. Specific conditions in an offer or order confirmation, such as an introduction offer, a trial period or a guarantee, take precedence over these general terms.
2. Offers and orders
Offers are valid for 30 days, unless stated otherwise. A contract is only formed when CosmetiWood confirms an order in writing, or when CosmetiWood starts delivery.
Samples, technical data and figures on the website, in brochures or in calculations are indicative. They describe typical results and do not form a guarantee for every application.
3. Prices
Prices are in euro, excluding VAT and other taxes. Unless agreed otherwise, prices are ex works Dessel (EXW, Incoterms 2020). Products are priced per kilo and invoiced on the quantity actually delivered.
CosmetiWood may adjust prices for orders not yet confirmed when the cost of raw materials, energy or transport changes significantly.
4. Delivery
Delivery times are given as accurately as possible but are indicative. A delay does not entitle the customer to cancel the order or to claim compensation, unless a binding delivery date was agreed in writing.
The risk passes to the customer in accordance with the agreed Incoterm. Partial deliveries are allowed and may be invoiced separately.
5. Retention of title
Delivered products remain the property of CosmetiWood until the customer has paid the full price, including interest and costs.
6. Payment
Invoices are payable within 30 days of the invoice date, unless agreed otherwise. If an invoice is not paid on time, late payment interest is due by law and without notice, at the rate set by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, together with a fixed compensation of EUR 40, without prejudice to proof of higher recovery costs.
In case of late payment, CosmetiWood may suspend further deliveries until all outstanding amounts have been paid.
7. Inspection and complaints
The customer checks the products on delivery. Visible defects and differences in quantity must be reported in writing within 8 days of delivery. Hidden defects must be reported in writing within 8 days of discovery, and no later than 12 months after delivery.
Products that are the subject of a complaint must not be processed further, and must be kept available for inspection.
8. Use of the products and technical advice
CosmetiWood gives application advice to the best of its knowledge. Results depend on the wood species, the substrate, the finishing products, the line and the working conditions at the customer. The customer is responsible for testing the suitability of the products for its own materials and process before using them in production. CosmetiWood is glad to support such tests and production trials.
The customer follows the instructions on the technical data sheet and the safety data sheet, including those for storage and shelf life.
9. Equipment on loan or trial
Equipment that CosmetiWood makes available on loan or for a trial, such as a Dispensa during a trial period, remains the property of CosmetiWood. The customer uses it with care and returns it in good condition at the end of the agreed period, unless the equipment has become the customer's property under a specific offer.
10. Warranty and liability
If a product does not meet the agreed specifications, CosmetiWood will, at its choice, replace the product or credit its price. This is the customer's only remedy.
The liability of CosmetiWood is limited to the invoice value of the products concerned. CosmetiWood is not liable for indirect or consequential damage, such as loss of production, loss of profit, rejected end products or claims from third parties, except in case of fraud or intentional fault.
11. Force majeure
CosmetiWood is not liable for failure or delay caused by circumstances beyond its reasonable control, such as shortages of raw materials, disruptions at suppliers or carriers, strikes, fire, epidemics or government measures. In such cases CosmetiWood may suspend or cancel the order without compensation.
12. Intellectual property and confidentiality
All intellectual property rights relating to the products, formulations, recipes, colours, documentation and know-how remain with CosmetiWood. EdgeFill and FaceFill are patent pending. The purchase of products does not grant any licence beyond their normal use. Both parties keep confidential the technical and commercial information they receive from each other.
13. Applicable law and competent court
These terms and all contracts with CosmetiWood are governed by Belgian law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes fall under the exclusive jurisdiction of the courts of Antwerp, Turnhout division.
